These Terms & Conditions (“Terms”) govern your access to and use of the Velocity Marketplace, operated by White Wizard Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Plot No. 23, Sector 18, HSIDC Maruti Industrial Area, Gurgaon, Haryana – 122015 (referred to as “Velocity”, “we”, “us”, or “our”).

By accessing, browsing, or placing an order on the Platform, you (“User”, “you”, “your”) agree to be bound by these Terms, along with our Privacy Policy and Cancellation, Shipping, Returns & Refund Policy, which together form a legally binding agreement.

If you do not agree, please do not use the Platform.

1. Scope & Role of Velocity

  1. Velocity operates an online marketplace and checkout platform that enables Users to discover and purchase products from independent third-party sellers (“Brands” or “Merchants”).
  2. Velocity is not the seller, manufacturer, or owner of the products listed on the Platform.
  3. All product-related obligations, including quality, authenticity, warranties, pricing, and statutory compliance, rest solely with the Merchant.
  4. Velocity acts as a technology and commerce facilitator, enabling discovery, checkout, payment coordination, customer support, and logistics facilitation.

2. Eligibility & Use

  1. The Platform is intended for individual consumers who are legally capable of entering into a binding contract under Indian law.
  2. Users under 18 years of age are not permitted to transact on the Platform.
  3. You agree to use the Platform only for lawful, personal, and non-commercial purposes.

3. Account & Access

  1. Browsing the Platform does not require account creation.
  2. Account creation is mandatory to place an order or make a payment.
  3. You are responsible for maintaining the confidentiality of your account credentials and all activity conducted through your account.
  4. Velocity reserves the right to suspend or terminate accounts in cases of fraud, misuse, policy violations, or legal requirements.

4. Products, Pricing & Availability

  1. Product descriptions, images, pricing, and availability are provided by Merchants.
  2. While Velocity makes reasonable efforts to ensure accurate display, it does not guarantee that listings are error-free.
  3. Merchants may modify or discontinue products at any time without notice.

5. Orders & Payments

  1. By placing an order, you confirm that all information provided is accurate and complete.
  2. Payments are processed through authorised third-party payment service providers.
  3. Velocity does not store card, UPI, or bank account credentials.
  4. Orders may be declined or cancelled due to suspected fraud, pricing errors, or operational constraints.

6. Shipping, Returns & Refunds

  1. Shipping, cancellation, return, and refund terms are governed by Velocity’s Cancellation, Shipping, Returns & Refund Policy.
  2. Return eligibility, timelines, and responsibilities may vary by product category and Merchant agreement.
  3. Velocity may act as a facilitator between Users and Merchants to resolve order-related issues.

7. Future Credit / Pay-Later Services

  1. Velocity may introduce optional checkout-level financing services such as EMI, BNPL, or pay-later options in the future.
  2. Such services, if offered, will be governed by separate terms, lender agreements, and applicable regulatory guidelines.
  3. Velocity does not currently provide any credit or lending services under these Terms.

8. User Conduct & Restricted Activities

You agree not to:

  • Provide false or misleading information
  • Misuse COD or payment systems
  • Engage in abusive, fraudulent, or unlawful activity
  • Attempt to disrupt or reverse-engineer the Platform
  • Infringe intellectual property or third-party rights

Velocity reserves the right to take appropriate action, including account suspension, blocking COD access, or legal recourse.

9. Intellectual Property

  1. All content, software, design elements, trademarks, logos, databases, and technology used on the Platform are the exclusive intellectual property of Velocity or its licensors.
  2. No part of the Platform may be copied, reproduced, modified, distributed, or exploited without prior written permission.
  3. Merchants retain ownership of their product trademarks and brand assets.

10. Disclaimers

  1. The Platform is provided on an “as is” and “as available” basis.
  2. Velocity does not guarantee uninterrupted or error-free operation.
  3. Velocity shall not be liable for:
    • Product defects or quality issues
    • Merchant delays or non-performance
    • Logistics disruptions beyond reasonable control

11. Limitation of Liability

  1. To the maximum extent permitted by law, Velocity shall not be liable for any indirect, incidental, or consequential damages.
  2. Velocity’s total liability, if any, shall not exceed ₹1,000 for any claim arising out of use of the Platform.

12. Indemnity

You agree to indemnify and hold Velocity harmless from any claims, losses, liabilities, or expenses arising from:

  • Your misuse of the Platform
  • Breach of these Terms
  • Violation of applicable laws or third-party rights

13. Termination

Velocity may suspend or terminate access to the Platform at any time:

  • For breach of these Terms
  • For legal or regulatory reasons
  • To protect platform integrity

Termination does not affect rights or obligations accrued prior to termination.

14. Dispute Resolution

  1. Parties shall first attempt to resolve disputes amicably.
  2. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka.
  3. Indian law shall govern these Terms.

15. Changes to Terms

Velocity may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance.
